Terms of Service

Welcome to Zen Ninja. These Terms of Service ("Terms") are a binding agreement between you and Zen Ninja Studio ("Zen Ninja," "we," "us," or "our") that governs your access to and use of our website at zen.ninja, our mobile and web applications (the "Apps"), and any related services (collectively, the "Services"). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 13 years old (or the minimum age required in your country) to use the Services. If you are under the age of majority where you live, you may only use the Services with the involvement and consent of a parent or legal guardian. By using the Services, you represent that you meet these requirements.

2. Accounts

Some features require you to create an account. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information and to update it as needed. Notify us promptly at team@zen.ninja of any unauthorized use or security incident.

3. License to use the Services

Subject to your compliance with these Terms, Zen Ninja grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services for your personal, non-commercial use. We reserve all rights not expressly granted.

4. Acceptable use

You agree not to:

  • Use the Services in violation of any applicable law or regulation.
  • Copy, modify, distribute, sell, or lease any part of the Services, or reverse engineer or attempt to extract source code, except where applicable law permits.
  • Use the Services to transmit malware, spam, or other harmful content.
  • Interfere with or disrupt the integrity or performance of the Services or the data they contain.
  • Attempt to gain unauthorized access to the Services or related systems, networks, or accounts.
  • Scrape, harvest, or otherwise collect information about other users without their consent.
  • Use the Services to harass, abuse, defame, or harm any person or group.
  • Misrepresent your identity or affiliation with any person or entity.

5. User content

The Services may allow you to create, upload, or share content — such as chore lists, group polls, votes, notes, or other materials ("User Content"). You retain ownership of your User Content.

By submitting User Content, you grant Zen Ninja a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for example, to format or compress), display, and otherwise use the User Content solely to provide and improve the Services. This license ends when you delete the User Content, except to the extent it has been shared with others who have not deleted it or where we are required to retain it by law.

You represent that you have all rights necessary to grant this license and that your User Content does not violate any law or third-party right. We may, but are not obligated to, review, moderate, or remove User Content that violates these Terms.

6. Purchases and subscriptions

Some features of the Services may require payment of fees or a subscription. Prices, plans, and features are described at the point of purchase and may change from time to time. By purchasing, you authorize us (or the applicable app-store provider) to charge your chosen payment method.

Unless required by applicable law or otherwise stated at purchase, all fees are non-refundable. Subscriptions renew automatically at the then-current rate until you cancel. You can manage and cancel subscriptions through your account settings or the relevant app store. Purchases made through the Apple App Store or Google Play are governed by those stores' refund and cancellation policies.

7. Third-party services

The Services may interact with or link to third-party services (e.g., app stores, sign-in providers, location data sources). We are not responsible for third-party services, and your use of them is governed by their own terms and privacy policies.

8. Intellectual property

The Services, including all software, designs, text, graphics, the Zen Ninja name and logo, and all related intellectual property, are owned by Zen Ninja or its licensors and are protected by copyright, trademark, and other laws. Nothing in these Terms transfers any ownership rights to you.

9. Feedback

If you send us suggestions, ideas, or other feedback about the Services, you grant us a perpetual, irrevocable, royalty-free, worldwide license to use that feedback for any purpose without obligation to you. You are not required to submit feedback.

10. Termination

You may stop using the Services at any time and may delete your account through the in-product settings or by emailing us. We may suspend or terminate your access to all or part of the Services at any time, with or without notice, if we reasonably believe you have violated these Terms or applicable law, or if continued provision would cause us legal or operational risk. Provisions that by their nature should survive termination (including ownership, disclaimers, limitations of liability, and dispute resolution) will survive.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. Zen Ninja does not warrant that the Services will be uninterrupted, secure, or error-free, or that any defects will be corrected.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZEN NINJA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless Zen Ninja and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your use of the Services, (b) your User Content, or (c) your violation of these Terms or any applicable law.

14. Governing law and dispute resolution

These Terms are governed by the laws of the jurisdiction in which Zen Ninja Studio is established, without regard to its conflict of laws rules. Any dispute arising out of or relating to these Terms or the Services will be resolved in the courts of that jurisdiction, except where applicable law guarantees you a right to bring proceedings in your country of residence. Nothing in these Terms limits your statutory consumer rights.

15. Changes to the Services or Terms

We may modify, suspend, or discontinue any part of the Services at any time. We may also update these Terms from time to time. If we make material changes, we will notify you through the Services or by other reasonable means and update the "Last updated" date above. Your continued use of the Services after the effective date of the updated Terms constitutes acceptance of those Terms.

16. General

  • Entire agreement. These Terms, together with our Privacy Policy and any additional terms specific to a particular service, constitute the entire agreement between you and Zen Ninja regarding the Services.
  • Severability. If any provision is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
  • No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • No agency. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.
